Corporate Practice
Miller & Brown provides a full range of corporate legal services including: organization, financing, and dissolution of public, private, and non-profit businesses. Our services also include counseling clients in the daily operation of their business enterprises, as well as with respect to ownership, corporate governance, disputes between management and shareholders, employment, and compensation matters.

  • Business Formation and Counsel
    We advise and draft documents in connection with the formation and governance of corporations, limited liability companies, business trusts and partnerships, including general partnerships, limited partnerships and registered limited liability partnerships. We also assist in the formation of joint ventures. Advice is provided as to both the choice of entity and the state laws under which the entity is to be organized.
    We counsel with directors and officers of corporations, partnerships and other entities as to their fiduciary duties. In conjunction with the firm's Litigation section, we handle fiduciary duty disputes.
